Parashell Terms of Service

Welcome, and thank you for your interest in Parashell. These Terms of Service (“Terms”) govern your access to and use of Parashell’s software, platform, APIs, documentation, websites, desktop applications, developer tools, hosted services, and related products and services, including any software made available by Parashell to create, edit, automate, manage, or interact with CAD models, assemblies, design files, geometry, scripts, and related engineering workflows (collectively, the “Service”).

By accessing or using the Service, you agree to these Terms.

Please also read our Privacy Policy, which explains how we collect, use, store, disclose, and otherwise process personal data.

If you are using the Service on behalf of a company, organization, school, or other legal entity, you represent that you have authority to bind that entity to these Terms. In that case, “you” and “your” refer to that entity.

If your organization has entered into a separate written agreement with Parashell governing use of the Service, such as an enterprise agreement, master services agreement, order form, or similar contract, that agreement will govern to the extent it conflicts with these Terms.


1. Access and Use

1.1 Provision of Access

Parashell provides AI-assisted CAD software and related tools intended to help users create, modify, inspect, automate, and manage CAD models, assemblies, geometry, scripts, and related design assets.

Subject to your compliance with these Terms, Parashell grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your own personal, educational, internal business, or authorized organizational purposes.

1.2 Content

You may submit, upload, enter, import, transmit, or otherwise provide information, files, prompts, CAD models, design files, assemblies, drawings, geometry, scripts, metadata, images, instructions, or other materials to the Service (“Inputs”).

The Service may generate, suggest, modify, return, execute, or produce outputs based on your Inputs, including CAD geometry, assemblies, drawings, scripts, code, configuration files, design suggestions, tool operations, measurements, comments, explanations, or other results (“Outputs”).

Inputs and Outputs are collectively referred to as “Content.”

We may use Content as necessary to provide, maintain, secure, debug, improve, and operate the Service; comply with applicable law; enforce these Terms; prevent abuse; and protect the safety, security, and integrity of the Service.

By submitting Inputs to the Service, you represent and warrant that you have all rights, licenses, consents, and permissions necessary for Parashell and its service providers to process those Inputs and provide the Service to you.

1.3 Model Training

Parashell will not use your Content to train AI models, and will not permit third parties to train AI models on your Content, unless you have expressly opted in or otherwise agreed to such use.

Where the Service provides settings related to model training, data sharing, telemetry, or product improvement, those settings will control to the extent described in the Service or our Privacy Policy.

1.4 AI Outputs and Engineering Responsibility

You understand that Outputs may be generated by machine learning systems, automated tools, scripts, geometry kernels, code execution environments, or other computational processes. Outputs may be incomplete, incorrect, unsafe, imprecise, non-manufacturable, incompatible with your intended use, or unsuitable for production, engineering, legal, safety-critical, or commercial purposes.

Without limitation, you acknowledge that:

  1. Outputs may contain geometric, dimensional, structural, mathematical, logical, syntactic, or design errors.
  2. Outputs may fail to satisfy manufacturing, safety, compliance, tolerance, material, regulatory, cost, or performance requirements.
  3. Outputs may resemble or duplicate outputs generated for other users.
  4. AI systems may misunderstand instructions, omit important constraints, or produce misleading explanations.
  5. Automated CAD operations may create invalid geometry, broken constraints, unstable assemblies, corrupted files, or unintended modifications.
  6. Code or scripts generated or executed through the Service may contain bugs, security vulnerabilities, destructive operations, or unintended side effects.
  7. The Service is not a substitute for professional engineering review, validation, testing, simulation, inspection, certification, or compliance analysis.

You are solely responsible for reviewing, validating, testing, and approving any Output before relying on it. You assume all risks arising from your use of Outputs, including any reliance on their accuracy, completeness, safety, usefulness, manufacturability, legality, or fitness for a particular purpose.

1.5 Use Restrictions

Except to the extent a restriction is prohibited by applicable law, you may not, and may not permit any third party to:

  1. Reverse engineer, decompile, disassemble, decode, modify, or otherwise attempt to derive the source code, object code, model weights, prompts, system instructions, architecture, algorithms, or underlying structure of the Service.
  2. Reproduce, modify, translate, adapt, or create derivative works of the Service, except as expressly permitted by Parashell or applicable open-source licenses.
  3. Rent, lease, lend, sublicense, sell, resell, distribute, provide access to, or commercially exploit the Service except as expressly authorized by Parashell.
  4. Remove, obscure, or alter any proprietary notices, legal notices, license notices, attribution notices, or branding included in the Service.
  5. Use the Service or Outputs to develop, train, fine-tune, benchmark, extract, distill, or improve any competing AI model, CAD automation system, geometry generation system, or substantially similar product.
  6. Engage in model extraction, prompt extraction, automated scraping, data mining, or similar activity intended to reconstruct or replicate the Service.
  7. Probe, scan, test, attack, bypass, or attempt to compromise the security, rate limits, authentication, authorization, infrastructure, or availability of the Service.
  8. Use the Service to create, modify, or assist in the development of weapons, illegal products, unsafe devices, harmful systems, or products intended to cause injury, unlawful surveillance, or property damage.
  9. Use the Service in any manner that infringes, misappropriates, or violates any intellectual property, privacy, publicity, confidentiality, contractual, or other rights of any third party.
  10. Upload or provide Content that you do not have the right to use, disclose, process, or submit.
  11. Upload or provide sensitive regulated information unless the Service expressly supports that type of information and you have entered into any required additional agreement with Parashell.
  12. Use the Service in violation of applicable laws, regulations, sanctions, export controls, or industry-specific rules.
  13. Interfere with or disrupt the Service, including by submitting excessive requests, malicious files, corrupted models, automated traffic, or content designed to degrade performance.
  14. Provide false, misleading, or inaccurate account, billing, identity, usage, or eligibility information.
  15. Share access credentials, API keys, tokens, or accounts except as expressly permitted by Parashell.

You must promptly notify Parashell if you become aware of unauthorized use of your account, API keys, credentials, or the Service.

1.6 Beta, Preview, and Experimental Features

Parashell may make certain features, models, integrations, builds, releases, APIs, or tools available as beta, preview, experimental, early access, limited release, evaluation, or non-production features (“Beta Features”).

You may choose whether to use Beta Features. Beta Features are provided for testing and evaluation only. They may be incomplete, unstable, inaccurate, insecure, discontinued, changed, rate-limited, or removed at any time.

Beta Features are provided “as is” and “as available,” without warranties, support, maintenance, uptime commitments, or data preservation commitments. You use Beta Features at your own risk.

1.7 Automatic Code, Script, and Operation Execution

The Service may include features that automatically execute generated or suggested code, scripts, CAD operations, file operations, shell commands, API calls, plugin actions, geometry operations, or other automated actions.

Where such features are available, they may be clearly labeled or configurable in the Service. By enabling or using them, you acknowledge that automated execution may cause unintended consequences, including file corruption, data loss, system instability, broken CAD models, invalid geometry, security vulnerabilities, unexpected costs, network calls, or unwanted modifications to local or remote systems.

You are solely responsible for deciding whether to enable automated execution and for maintaining appropriate safeguards, including backups, version control, sandboxing, permission restrictions, file isolation, testing, monitoring, and human review.

Parashell is not responsible for losses arising from your decision to allow automatically generated or suggested actions to execute.

1.8 Local Software and Desktop Environment

Certain parts of the Service may run locally on your device. You are responsible for maintaining your own hardware, operating system, dependencies, drivers, CAD files, network access, backups, security tools, and local environment.

Parashell may interact with local files, local processes, installed software, CAD kernels, plugins, package managers, model providers, or development tools depending on the features you use. You are responsible for understanding and approving such interactions.


2. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, whichever is higher, to use the Service.

By using the Service, you represent and warrant that:

  1. You meet the applicable age requirement.
  2. You have not previously been suspended or removed from the Service.
  3. Your use of the Service complies with applicable laws and regulations.
  4. You are not barred from using the Service under applicable sanctions, export control, or trade laws.

If you are using the Service as part of an organization, your organization is responsible for ensuring that all users it authorizes comply with these Terms.


3. Account Registration and Security

To use certain features of the Service, you may need to create an account. You agree to provide accurate, complete, and current information and to keep that information updated.

You are responsible for maintaining the confidentiality of your account credentials, passwords, API keys, access tokens, and authentication methods. You are responsible for all activity that occurs under your account, whether or not authorized by you.

If you believe your account, credentials, API keys, device, or access to the Service has been compromised, you must notify Parashell immediately at contact@parashell.cloud.

Parashell may suspend or restrict access to your account if we believe it has been compromised, used unlawfully, used in violation of these Terms, or used in a way that may create risk for Parashell, other users, or third parties.


4. Payment Terms

4.1 Paid Services

Some features of the Service may require payment, including subscriptions, usage-based billing, add-ons, hosted services, API access, model usage, compute usage, storage, collaboration features, enterprise features, or other paid functionality.

Before you purchase a paid feature, we will provide pricing information or otherwise make the applicable fees available to you.

Unless otherwise stated, fees are non-refundable except as required by law or expressly stated in these Terms.

4.2 Pricing Changes

Parashell may determine and update pricing for the Service. We will make reasonable efforts to keep pricing information current.

We may change fees, billing methods, usage rates, included allowances, credit systems, overage rates, or available plans. Where required by law or where changes materially affect an active paid plan, we will provide notice through the Service, email, account settings, invoice, pop-up, or another reasonable method before the changes take effect.

Your continued use of the paid Service after a pricing change takes effect constitutes your agreement to pay the updated fees.

You are responsible for all taxes, duties, levies, and similar charges associated with your use of the Service, except taxes based on Parashell’s net income.

4.3 Payment Processing

Parashell may use third-party payment processors, including Stripe or other providers, to process payments.

By using paid features, you agree to comply with the terms, policies, and privacy notices of the applicable payment processor. You authorize Parashell and its payment processors to charge your selected payment method for fees, taxes, recurring subscriptions, usage charges, add-ons, and other amounts due.

Parashell is not responsible for errors, delays, security incidents, or disputes caused by third-party payment processors, except to the extent required by law.

4.4 Subscriptions

The Service may include subscription plans that renew automatically unless cancelled.

When you purchase a subscription, you authorize Parashell or its payment processor to charge your payment method on a recurring basis for the applicable subscription period, including any taxes and permitted fees.

Your subscription begins on the date you purchase it and continues for the selected billing period. It will automatically renew for successive periods unless you cancel before renewal.

You must cancel your subscription at least 24 hours before the renewal date to avoid being charged for the next billing period, unless applicable law provides otherwise.

You may cancel through the billing settings provided in the Service or by contacting Parashell at contact@parashell.cloud.

4.5 Usage-Based Features, Credits, and Add-Ons

The Service may include usage-based features, including AI model usage, token usage, compute usage, file processing, storage, API calls, hosted execution, rendering, simulation, export, or other metered functionality.

Parashell may require you to purchase credits, maintain a payment method, or agree to overage billing before using certain usage-based features.

Usage records generated by Parashell or its service providers will be used to calculate usage charges. You are responsible for monitoring your usage and configuring limits where available.

Add-ons, credits, usage-based features, and supplemental services are part of the Service and are governed by these Terms.

Unless otherwise stated, unused credits may expire, may not be transferable, and may not be redeemable for cash.

4.6 Failed Payments and Delinquent Accounts

If payment is overdue, declined, reversed, disputed, or otherwise not received, Parashell may suspend, limit, downgrade, or terminate access to the Service, including paid features.

You remain responsible for all unpaid amounts, including taxes, chargeback fees, collection costs, and other costs permitted by law.

If your payment method is invalid or payment cannot be collected, Parashell may delete, restrict, or suspend your account and related data, subject to applicable law and any data retention obligations.


5. Ownership and Licenses

5.1 The Service

Parashell and its licensors own all rights, title, and interest in and to the Service, including software, systems, interfaces, workflows, models, prompts, tools, documentation, branding, design, infrastructure, improvements, modifications, and intellectual property rights.

No rights are granted to you except those expressly stated in these Terms. Parashell reserves all rights not expressly granted.

Some components of the Service may be made available under open-source licenses. Where open-source license terms apply, those terms govern your use of the relevant open-source component.

5.2 Your Inputs

You retain all rights, title, and interest you have in your Inputs.

You grant Parashell a limited, worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, display, modify, and use your Inputs solely as necessary to provide, maintain, secure, troubleshoot, and improve the Service; comply with law; enforce these Terms; and prevent abuse.

5.3 Outputs

As between you and Parashell, Parashell assigns to you any right, title, and interest it may have in Outputs generated for you by the Service, subject to these Terms and applicable law.

This assignment does not apply to:

  1. Parashell’s underlying software, systems, models, prompts, tools, documentation, interfaces, or technology.
  2. Outputs generated for other users.
  3. Third-party materials, open-source software, or other content subject to separate rights.
  4. Content that cannot legally be assigned.
  5. Usage Data, as defined below.

You are responsible for determining whether Outputs are protectable, registrable, enforceable, non-infringing, safe, and suitable for your intended use.

5.4 Feedback

If you provide suggestions, ideas, comments, bug reports, feature requests, evaluations, or other feedback about the Service (“Feedback”), you grant Parashell a perpetual, irrevocable, worldwide, royalty-free right to use, disclose, reproduce, modify, distribute, commercialize, and otherwise exploit the Feedback without restriction or compensation to you.

5.5 Usage Data

Parashell may collect and process technical, diagnostic, performance, telemetry, analytics, security, usage, and interaction data about how users access and use the Service (“Usage Data”).

Usage Data does not include Content.

Parashell may use Usage Data for internal business purposes, including security, analytics, debugging, abuse prevention, product improvement, research, development, and operational monitoring. Parashell may disclose Usage Data to third parties only in aggregated or de-identified form that does not identify you.


6. Third-Party Services and Model Providers

The Service may include, connect to, depend on, or interoperate with third-party services, software, APIs, plugins, extensions, model providers, cloud providers, payment processors, storage providers, authentication providers, CAD libraries, package managers, or open-source projects (“Third-Party Services”).

Your use of Third-Party Services may be subject to separate terms, privacy policies, licenses, fees, limits, and restrictions. You are responsible for reviewing and complying with those terms.

Parashell does not control and is not responsible for Third-Party Services, including their availability, security, outputs, pricing, data handling, intellectual property rights, or performance.

Where the Service allows you to configure your own API keys, credentials, accounts, or third-party integrations, you are responsible for those configurations and for all resulting usage, costs, and consequences.


7. Communications

Parashell may send you service-related communications, including account notices, security notices, billing notices, legal notices, product updates, usage alerts, and support messages.

We may also send marketing communications where permitted by law. You may opt out of promotional emails by using the unsubscribe link or other instructions included in the communication.

You cannot opt out of important service, security, billing, or legal communications while maintaining an account.


8. Changes to These Terms

Parashell may update these Terms from time to time.

If we make material changes, we will provide notice by updating the date at the top of these Terms and, where appropriate, by notifying you through the Service, email, account settings, website notice, or another reasonable method.

Changes become effective when posted unless a later effective date is stated.

Your continued access to or use of the Service after changes take effect means you accept the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.


9. Termination

You may stop using the Service at any time.

Parashell may suspend, restrict, or terminate your access to the Service, in whole or in part, at any time if:

  1. You violate these Terms.
  2. Your account creates security, legal, operational, financial, or reputational risk.
  3. Your payment is overdue or cannot be collected.
  4. We are required to do so by law.
  5. Your account has been inactive for an extended period.
  6. We discontinue the Service or relevant features.

Where feasible, Parashell will provide reasonable notice before termination or suspension. However, notice may not be provided where urgent action is needed to prevent abuse, protect security, comply with law, avoid harm, or preserve the integrity of the Service.

If Parashell terminates a paid subscription for convenience before the end of the paid period, Parashell will provide a pro rata refund for the unused portion, unless termination is due to your breach of these Terms.

Upon termination, your right to use the Service ends immediately. Parashell may delete or retain Content and account data in accordance with these Terms, our Privacy Policy, and applicable law.

Sections that by their nature should survive termination will survive, including ownership, payment obligations, disclaimers, limitations of liability, indemnity, dispute resolution, and miscellaneous provisions.


10. Changes to the Service

Parashell may modify, suspend, limit, replace, or discontinue all or part of the Service at any time, temporarily or permanently.

This may include changes to features, integrations, pricing, usage limits, supported model providers, APIs, file formats, platforms, storage, compute resources, local software, or compatibility.

Parashell is not liable for changes to the Service, including loss of access to features or paid functionality, except where required by law or expressly stated in these Terms.

You are responsible for maintaining independent backups of your Content, CAD files, exports, scripts, projects, and other important data.


11. Copyright and Intellectual Property Complaints

If you believe that content available through the Service infringes your intellectual property rights, please send a notice to contact@parashell.cloud.

Your notice should include:

  1. A physical or electronic signature of the person authorized to act on behalf of the rights owner.
  2. A description of the copyrighted work or intellectual property claimed to be infringed.
  3. A description of where the allegedly infringing material is located.
  4. Your name, address, telephone number, and email address.
  5. A statement that you have a good-faith belief that the disputed use is not authorized by the rights owner, its agent, or the law.
  6. A statement that the information in your notice is accurate and that you are the rights owner or authorized to act on behalf of the rights owner.

Parashell may remove or disable access to content alleged to infringe rights and may terminate accounts of repeat infringers where appropriate.


12. Privacy

Please review our Privacy Policy for information about how Parashell collects, uses, stores, shares, and protects personal data.

By using the Service, you acknowledge that your personal data will be processed as described in the Privacy Policy.


13. Indemnity

To the fullest extent permitted by law, you are responsible for your use of the Service and Content.

You agree to defend, indemnify, and hold harmless Parashell, its affiliates, officers, directors, employees, contractors, agents, licensors, service providers, and representatives from and against all claims, liabilities, damages, losses, costs, expenses, and fees, including reasonable legal fees, arising out of or relating to:

  1. Your unauthorized use or misuse of the Service.
  2. Your violation of these Terms.
  3. Your violation of applicable law or regulation.
  4. Your Inputs or your use of Outputs.
  5. Any claim that your Inputs or use of Outputs infringe, misappropriate, or violate third-party rights.
  6. Any product, design, device, component, file, model, assembly, code, script, manufacturing instruction, or engineering decision created, modified, approved, manufactured, distributed, sold, deployed, or relied upon by you using the Service.
  7. Your use of automatic execution, generated scripts, CAD operations, third-party integrations, or model providers.

Parashell reserves the right to assume exclusive defense and control of any matter subject to indemnification. You agree to cooperate with Parashell’s defense of such claims.


14. Disclaimer of Warranties

The Service and Outputs are provided “as is” and “as available.”

To the fullest extent permitted by law, Parashell disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, quiet enjoyment, accuracy, non-infringement, availability, security, reliability, compatibility, and performance.

Parashell does not warrant that:

  1. The Service will be uninterrupted, secure, accurate, complete, or error-free.
  2. Outputs will be correct, safe, manufacturable, lawful, non-infringing, useful, or suitable for your intended purpose.
  3. CAD files, assemblies, geometry, scripts, or generated operations will be valid, stable, compatible, or free from defects.
  4. The Service will detect all design flaws, safety issues, compliance issues, vulnerabilities, or manufacturing problems.
  5. The Service will preserve data, prevent data loss, or remain compatible with any operating system, CAD format, third-party software, model provider, or hardware configuration.
  6. Any defects, errors, vulnerabilities, or harmful components will be corrected.

You agree that you will not rely on the Service or any Output as a source of truth for engineering, manufacturing, safety, compliance, legal, medical, aviation, automotive, defense, infrastructure, or other high-risk decisions.

Some jurisdictions do not allow certain warranty disclaimers, so some of these disclaimers may not apply to you.


15. Limitation of Liability

15.1 No Indirect Damages

To the fullest extent permitted by law, Parashell and its affiliates, officers, directors, employees, contractors, agents, licensors, service providers, and representatives will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including damages for lost profits, lost revenue, lost data, lost goodwill, business interruption, procurement of substitute services, production delays, manufacturing losses, product recalls, engineering failures, design defects, corrupted CAD files, security incidents, or other intangible losses.

This applies whether the claim is based on contract, tort, negligence, strict liability, warranty, statute, or any other legal theory, even if Parashell has been advised of the possibility of such damages.

15.2 Liability Cap

To the fullest extent permitted by law, Parashell’s total aggregate liability for all claims arising out of or relating to these Terms, the Service, or Content will not exceed the greater of:

  1. The amount you paid to Parashell for access to and use of the Service during the six months immediately before the event giving rise to the claim; or
  2. €100.

These limitations are fundamental to these Terms and apply even if any limited remedy fails of its essential purpose.

15.3 Exceptions

Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.


16. Dispute Resolution

16.1 Informal Resolution

Before bringing a formal claim, you agree to first contact Parashell at legal@parashell.cloud and provide a written description of the dispute, the relief sought, and any relevant account information.

Parashell will attempt to resolve the dispute informally. If the dispute is not resolved within 60 days after receiving written notice, either party may pursue formal proceedings as permitted by these Terms and applicable law.

16.2 Governing Law

These Terms are governed by the laws of Ireland, unless otherwise required by applicable consumer protection law.

16.3 Courts

Subject to any rights you may have as a consumer under applicable law, disputes arising out of or relating to these Terms or the Service will be brought in the courts of Ireland.

If you are a consumer residing in the European Economic Area, the United Kingdom, Switzerland, or another jurisdiction with mandatory consumer protection rules, you may also have the right to bring claims in the courts of your country of habitual residence.

16.4 Class and Representative Actions

To the fullest extent permitted by applicable law, disputes must be brought only on an individual basis and not as a plaintiff, claimant, or class member in any class, collective, representative, or group proceeding.

Where this restriction is not enforceable under applicable law, it will apply only to the maximum extent permitted.


17. Consumer Rights

Nothing in these Terms limits any mandatory rights you have as a consumer under applicable law.

If you are a consumer, you may have statutory rights relating to cancellation, refunds, defective digital content, unfair terms, data protection, and access to local courts. These Terms do not override those rights.

17.1 EEA, UK, and Swiss Consumers

If you are a consumer resident in the European Economic Area, United Kingdom, or Switzerland, you may have a legal right to cancel a subscription within 14 days after purchase without giving a reason.

To exercise this right, you must notify Parashell before the cancellation period expires by contacting contact@parashell.cloud or using any cancellation method made available in the Service.

If you cancel within the applicable period, Parashell will reimburse payments received for the cancelled subscription within 14 days after being informed of your decision, using the same payment method where reasonably possible.

If you requested or used paid services during the cancellation period, Parashell may deduct or withhold an amount proportionate to the services provided before cancellation, where permitted by law.

The cancellation period does not reset if you change subscription tiers, cancel and resubscribe, or otherwise modify an existing subscription.

17.2 Other Consumer Jurisdictions

If you are a consumer in a jurisdiction that grants mandatory cancellation, refund, or withdrawal rights, those rights apply to the extent required by law.


18. Export Controls and Trade Compliance

You must comply with all applicable sanctions, export control, and trade laws.

You may not use, export, re-export, transfer, or provide access to the Service in violation of applicable trade laws, including for the benefit of any embargoed country, restricted party, sanctioned person, or prohibited end use.

You may not submit Inputs that require a government license for export, re-export, transfer, or disclosure unless you have obtained all required licenses and Parashell has expressly agreed in writing to process such Inputs.


19. No Professional Engineering Advice

Parashell provides software tools. Parashell does not provide professional engineering, architectural, manufacturing, legal, safety, compliance, certification, or regulatory advice.

Outputs may assist with design workflows, but they are not a substitute for review by qualified professionals.

You are responsible for ensuring that any design, model, assembly, component, product, drawing, manufacturing instruction, or engineering decision complies with all applicable laws, regulations, standards, tolerances, certifications, safety requirements, and professional obligations.


20. High-Risk Uses

You may not use the Service as the sole basis for decisions or outputs involving high-risk applications where failure could result in death, personal injury, severe property damage, environmental harm, critical infrastructure failure, legal non-compliance, or significant financial loss.

High-risk applications may include aviation, aerospace, automotive safety systems, medical devices, weapons, nuclear systems, structural engineering, public infrastructure, emergency systems, industrial control systems, or other safety-critical systems.

If you use the Service in connection with high-risk applications, you are solely responsible for implementing appropriate human review, professional oversight, testing, validation, verification, certification, redundancy, and safety procedures.


21. Support

Parashell is not obligated to provide support unless expressly stated in a separate agreement, paid plan, support policy, or order form.

Where Parashell provides support, support is subject to applicable policies, availability, and reasonable limitations.


22. Miscellaneous

22.1 Entire Agreement

These Terms, together with the Privacy Policy and any agreements expressly incorporated by reference, form the entire agreement between you and Parashell regarding the Service.

22.2 Assignment

You may not assign or transfer these Terms or your rights under them without Parashell’s prior written consent.

Parashell may assign or transfer these Terms, in whole or in part, without notice or consent, including in connection with a merger, acquisition, financing, restructuring, sale of assets, or corporate transaction.

22.3 Severability

If any provision of these Terms is found invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in effect.

22.4 Waiver

Parashell’s failure to enforce any provision of these Terms does not waive its right to enforce that provision later.

A waiver is effective only if in writing and signed by an authorized representative of Parashell.

22.5 Electronic Communications

By using the Service, you consent to receive notices and communications electronically. Electronic communications satisfy any legal requirement that communications be in writing, to the extent permitted by law.
